1. Acceptance of Terms
By accessing or using the MyClipbox™ mobile application (“ClipBox,” “the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the App.
2. Description of Service
My ClipBox™ is a family-focused savings app where businesses tip you. It helps users:
- Receive gratuity drops from local businesses
- Create and manage family wishlists
- Track savings and holiday budgets
- Connect with local businesses and manufacturers
3. User Accounts
3.1 Account Creation
To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized use of your account.
4. User Conduct
You agree NOT to:
- Use the App for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the App's functionality
- Impersonate another person or entity
- Harvest or collect information about other users
- Use automated systems (bots) to access the App
5. Gratuity Drops
5.1 Accuracy
We strive to provide accurate gratuity information, but we cannot guarantee availability or accuracy. Business tips are subject to change without notice.
5.2 Third-Party Terms
Gratuity drops may be subject to additional terms and conditions set by retailers and manufacturers. You are responsible for reviewing and complying with those terms.
6. Intellectual Property
The App and its content (including text, graphics, logos, and software) are owned by My ClipBox Limited Liability Co. and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.
7. Privacy
Your use of My ClipBox™ is also governed by our Privacy Policy. We are committed to protecting your data and never selling it to third parties.
8. Disclaimers
THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that the App will be error-free, uninterrupted, or free of viruses. We are not responsible for savings amounts, coupon accuracy, or any losses incurred from using the App.
9. Limitation of Liability
To the maximum extent permitted by law, My ClipBox Limited Liability Co. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of My ClipBox™.
10. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason. You may also delete your account at any time through the App settings.
11. Changes to Terms
We may modify these Terms from time to time. We will notify you of significant changes through the App or via email. Continued use of the App after changes constitutes acceptance of the new Terms.
12. HIPAA Compliance & Healthcare Features
Healthcare-Ready Service Terms
ClipBox is designed to support HIPAA-compliant healthcare savings features. This section outlines the terms governing potential future health-related functionality.
12.1 Current Service Scope
ClipBox does NOT currently function as a Covered Entity or Business Associate under HIPAA. Our current services focus on general savings, coupons, and family wishlists without collecting Protected Health Information (PHI).
12.2 Planned Healthcare Features
ClipBox is preparing to offer optional healthcare savings features, including but not limited to:
- Prescription drug price comparison and pharmacy coupons
- FSA/HSA eligible expense tracking
- Medical receipt scanning and organization
- Healthcare savings goals and budgeting
You will NOT be automatically enrolled in healthcare features. Before using any feature that collects PHI, you must:
- ✅ Provide explicit opt-in consent
- ✅ Review updated Privacy Policy disclosures
- ✅ Acknowledge additional healthcare-specific terms
- ✅ Receive Notice of Privacy Practices (NPP) if applicable
12.3 User Responsibilities for Healthcare Features
If you choose to use ClipBox healthcare features, you agree to:
- Provide accurate health information: Ensure prescription and medical data you enter is correct
- Maintain account security: Use strong passwords and enable two-factor authentication for health features
- Not share accounts: Healthcare features are for individual use only, not shared family accounts
- Comply with laws: Only use prescription savings tools for your own legally obtained medications
- Consult professionals: ClipBox does not provide medical, pharmacy, or insurance advice
12.4 Prohibited Uses of Healthcare Features
You may NOT use ClipBox healthcare features to:
- ❌ Obtain prescriptions without a valid doctor's order
- ❌ Share or sell prescription medications
- ❌ Submit false insurance or pharmacy information
- ❌ Access another person's health information without authorization
- ❌ Use health data for employment, insurance, or lending decisions
- ❌ Resell or redistribute pharmacy coupons for commercial gain
12.5 HIPAA Business Associate Agreements
When ClipBox provides services involving PHI on behalf of a Covered Entity (such as a healthcare provider, health plan, or pharmacy), we will:
- Execute a Business Associate Agreement (BAA) as required by HIPAA
- Implement appropriate safeguards to protect PHI
- Report any security incidents or breaches as required by law
- Return or destroy PHI upon termination of services
- Ensure subcontractors sign BAAs before accessing PHI
12.6 Permitted Uses and Disclosures of PHI
ClipBox will only use or disclose your Protected Health Information for:
- Treatment: Providing healthcare savings tools (e.g., pharmacy price comparison)
- Payment: Processing prescription coupon claims
- Healthcare Operations: Improving healthcare savings features
- Required by Law: Responding to valid legal requests or reporting abuse
- With Your Consent: Sharing information with parties you explicitly authorize
We will NEVER sell your PHI or use it for marketing without your explicit authorization.
12.7 Children and Healthcare Features
Healthcare features that collect PHI are NOT available for children under 13 without verifiable parental consent. Parents/guardians of users aged 13-17 have the right to access and control their child's health information in ClipBox.
12.8 Data Retention for Healthcare Features
Health information will be retained according to HIPAA requirements:
- Active Data: Retained while you use healthcare features
- Audit Logs: Kept for 6 years as required by HIPAA
- User Requests: Deleted within 30 days of request (except where legally required to retain)
- Account Deletion: PHI permanently deleted within 90 days after de-identification
12.9 Breach Notification Obligations
In the event of a data breach involving PHI:
- We will notify affected users within 60 days
- Notice will be provided via email and in-app notification
- We will report to HHS Office for Civil Rights if 500+ users affected
- We will provide breach details and mitigation steps
12.10 Termination of Healthcare Features
You may opt-out of healthcare features at any time. Upon termination:
- Your PHI will be de-identified or deleted within 90 days
- You can export your health data before termination
- Audit logs will be retained for legal compliance (6 years)
- General ClipBox features will continue to function normally
Important Notice: These healthcare terms are preparatory. ClipBox will provide 30 days advance notice before launching any feature that collects PHI. You will receive updated Terms of Service, Privacy Policy, and Notice of Privacy Practices at that time, with the opportunity to opt-in or decline healthcare features.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of [Your State/Jurisdiction]. Healthcare features are subject to HIPAA Privacy and Security Rules (45 CFR Parts 160 and 164).
